By accessing and using Studiomatic ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. Studiomatic reserves the right to modify these terms at any time, and your continued use constitutes acceptance of the updated terms.

2. Service Description

Studiomatic is an AI-powered video production platform that helps you generate professional videos, image posts, and carousel content for social media. The Service includes slide generation, background music, voiceovers, captions, and video rendering. You must provide your own API keys for third-party AI providers (MiniMax, Z.ai, etc.) to use generative features.

3. User Accounts & Registration

To use Studiomatic, you must create an account. You are responsible for:

• •Providing accurate, complete, and current account information
• •Maintaining the confidentiality of your password
• •All activities that occur under your account
• •Notifying us immediately of any unauthorized access

You agree not to share your account credentials or allow others to access your account. Accounts are personal and non-transferable.

4. Acceptable Use Policy

You agree not to use Studiomatic for:

• •Illegal, fraudulent, or deceptive purposes
• •Creating deepfakes or non-consensual intimate content
• •Generating content that impersonates real individuals without consent
• •Spam, harassment, or hate speech
• •Copyright or trademark infringement
• •Circumventing security or rate limits
• •Reverse engineering or attempting to derive proprietary algorithms
• •Violating applicable laws or regulations

Studiomatic reserves the right to investigate and suspend or terminate accounts that violate this policy.

5. Content Ownership & Rights

Your Content: You retain all rights to the content you create and upload (scripts, images, audio). You grant Studiomatic a license to process, store, and render this content to generate your videos.

Generated Output: Videos, images, and audio generated by Studiomatic using AI models are owned by you and licensed for your commercial or personal use. You are responsible for ensuring your content does not infringe third-party rights.

Studiomatic Platform: The Studiomatic software, UI, and proprietary algorithms are our intellectual property. You may not reproduce, modify, or distribute them without permission.

6. AI Model Outputs & Accuracy

Studiomatic uses third-party AI models (MiniMax, Z.ai, ElevenLabs, etc.) to generate content. You acknowledge that:

• •AI outputs may occasionally contain factual errors, bias, or inaccuracies
• •We recommend reviewing and editing generated scripts before rendering
• •Studiomatic is not liable for inaccurate, offensive, or problematic AI outputs
• •You are responsible for compliance with platform content policies (YouTube, TikTok, Instagram, etc.)

We strive to keep Studiomatic available and functional. However:

• •The Service is provided "as-is" without guaranteed uptime or SLA for free accounts
• •Scheduled maintenance may cause temporary unavailability
• •Studiomatic is not liable for data loss due to service outages (we maintain backups)
• •Downtime caused by third-party AI providers is outside our control

9. Account Termination

Studiomatic may suspend or terminate your account if you:

• •Violate this Terms of Service or Acceptable Use Policy
• •Generate illegal, fraudulent, or harmful content
• •Fail to pay outstanding fees (paid plans)
• •Violate applicable laws or regulations

Upon termination, your access to the Service ceases immediately. You may request export of your data within 30 days of termination. After 90 days, all data will be permanently deleted.

10. Disclaimers & Limitation of Liability

Disclaimer: The Service is provided "as-is" and "as-available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or fit for a particular purpose.

Limitation of Liability: To the maximum extent permitted by law, Studiomatic shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption, arising from your use of the Service, even if we've been advised of the possibility of such damages.

Maximum Liability: Our total liability for any claim arising from these Terms shall not exceed the amount you've paid Studiomatic in the 12 months preceding the claim.

You agree to indemnify and hold harmless Studiomatic from any claims, damages, or liabilities arising from your use of the Service, your content, or your violation of these Terms. This includes claims by third parties alleging copyright infringement, defamation, or illegal activity involving your generated videos.

Studiomatic integrates with third-party AI providers and publishing platforms:

• •MiniMax, Z.ai, ElevenLabs, and other AI providers operate under their own terms and privacy policies
• •YouTube, TikTok, Instagram, and LinkedIn have their own content policies
• •Studiomatic is not responsible for third-party service failures or policy violations

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in India.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Studiomatic regarding your use of the Service and supersede all prior agreements and understandings.
